Terms and Conditions

1. Acceptance of Terms

By accessing or using the KoroWorks ERP platform ("Platform"), including any of its modules such as Accounting, HRM, CRM, Sales, Inventory, Manufacturing, Logistics, Healthcare, Agriculture, and all other modules, you ("User" or "Customer") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the Platform.

These Terms apply to all users, including businesses, individuals, and organisations accessing the Platform under a subscription, trial, or on-premise licence.

2. Description of Service

KoroWorks ERP is an enterprise resource planning platform offering more than 25 integrated business modules. The Platform is available as a cloud-hosted (SaaS) subscription and as a self-hosted (on-premise) deployment. Features, modules, and availability may vary depending on the subscription plan selected.

3. Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at support@koroworks.com if you suspect any unauthorised access.

4. Subscription and Billing

Subscriptions are billed on the cycle selected at sign-up (monthly or annually). All fees are non-refundable except as expressly stated in our refund policy. We reserve the right to modify pricing with at least 30 days’ notice. Failure to pay on time may result in suspension or termination of your account.

On-premise licences are governed by a separate licence agreement provided at purchase.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorised access to any part of the Platform or its infrastructure.
• Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Platform.
• Transmit viruses, malware, or any code of a destructive or disruptive nature.
• Resell, sublicence, or redistribute access to the Platform without prior written consent.
• Use the Platform to store or transmit content that is defamatory, obscene, or infringes on third-party rights.

6. Data and Privacy

Your use of the Platform is subject to our Privacy Policy. We collect and process data as described therein. You retain ownership of all business data you upload or generate within the Platform. We process your data solely to provide and improve the service.

For cloud-hosted accounts, data is stored in secure infrastructure. For on-premise deployments, you are solely responsible for data storage, security, and backups.

7. Intellectual Property

All intellectual property rights in the Platform, including software, designs, trade marks, and documentation, are owned by or licenced to KoroWorks. Nothing in these Terms transfers any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for your internal business operations.

8. Modules and Features

The Platform includes, but is not limited to, the following modules: Accounting & Finance, Human Resource Management (HRM), Customer Relationship Management (CRM), Sales & Invoicing, Inventory & Warehouse, Point of Sale (POS), Manufacturing, Supply Chain Management (SCM), Logistics, Project Management, Healthcare, Agriculture, Construction, Compliance, Learning Management System (LMS), Marketing, E-Commerce, Service Desk, Wellness, Hotel Management, and Analytics.

Access to specific modules depends on your subscription plan. We may add, modify, or discontinue modules with reasonable notice.

9. Uptime and Support

We target a 99.5% monthly uptime for cloud-hosted deployments, excluding scheduled maintenance windows. Support is provided via email and in-platform ticketing. Response times vary by plan. We do not guarantee specific resolution times.

10. Limitation of Liability

To the maximum extent permitted by applicable law, KoroWorks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising out of or related to your use of the Platform, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Termination

Either party may terminate the agreement at any time. You may cancel your subscription through the Tenant Portal. We may suspend or terminate your account immediately if you breach these Terms, fail to make payment, or engage in activity that harms the Platform or other users. Upon termination, your right to access the Platform ceases and your data may be deleted after a 30-day grace period.

13. Modifications to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by email or by a prominent notice within the Platform at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya. Any dispute arising out of or in connection with these Terms shall first be referred to mediation. If unresolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya.
